1. Who you are contracting with

These Terms & Conditions ("Terms") form a binding agreement between you and Sunny Commerce LLC, a Texas limited liability company with its principal place of business at 2368A Rice Blvd. #435, Houston, TX 77005, USA ("Sunny's", "we", "us", or "our"), trading as "Sunny's Travel Co." By creating an account, accessing, or otherwise using our website, applications, AI itinerary planner, advisor tools, or any related services (collectively, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility & authority

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are using the Service on behalf of an organization or travel agency, you represent that you have authority to bind that entity to these Terms.

3. The Service

Sunny's provides AI-assisted travel planning, itinerary generation, proposal drafting, and advisor productivity tools. Outputs generated by our AI features are suggestions only and may contain inaccuracies. You are responsible for independently verifying availability, pricing, visa requirements, health and safety conditions, and any other material details before booking or sharing outputs with clients.

4. Accounts

You agree to provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for activity that occurs under your account.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful, fraudulent, or deceptive purpose;
  • send spam, harvest data, or impersonate another person or entity;
  • infringe any intellectual property, privacy, publicity, or other rights;
  • upload malware, attempt to probe, scan, or breach our security, or scrape the Service or its outputs at scale;
  • use the Service to generate disallowed AI content (illegal content, hate speech, sexual content involving minors, deepfakes, malware, content designed to harass, etc.) or to circumvent our safety measures;
  • resell, redistribute, or build a competing product from the Service or its outputs.

6. AI-generated content

You are responsible for the prompts you submit and the way you use the outputs. You must have the rights to any content you submit, and you must independently verify the accuracy of outputs before relying on them — particularly for bookings, pricing, regulated advice, or any client-facing material. The Service is not a substitute for professional travel, legal, medical, or financial advice. We may remove, restrict, or refuse to generate content, and may suspend accounts that repeatedly violate these Terms or applicable rights.

7. Intellectual property

The Service, including its software, models, design, branding, and documentation, is owned by Sunny Commerce LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within your subscription plan. As between you and us, you retain ownership of content you submit, and you grant us a limited license to host, process, and display that content solely to operate and improve the Service.

8. Subscriptions, billing & refunds

Paid plans are offered on a subscription basis and renew automatically until canceled. Payments are processed by Stripe, Inc., our payment processor. Payment, billing, tax, cancellation, and refund mechanics are governed by our Refund Policy and Stripe's End User Terms.

9. Service availability

We work hard to keep the Service running, but we do not guarantee that it will be uninterrupted, secure, or error-free. The Service is provided on an "as is" and "as available" basis, and to the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service in any 12-month period will not exceed the fees you paid us in that period. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability that cannot be excluded by law (such as for fraud, death, or personal injury caused by negligence).

11. Indemnity

You will indemnify and hold Sunny Commerce LLC harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.

12. Suspension & termination

We may suspend or terminate your access for material breach, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may cancel at any time through your account or the customer portal. On termination, your right to use the Service ends; we may delete your data after a reasonable export window.

13. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Exclusive venue lies in the state and federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.

14. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date constitutes acceptance.
